STANDARD TERMS AND CONDITIONS OF SALE

These Terms and Conditions of Sale (“T&C”) apply to all offers, quotations and contracts for the supply of goods and/or services by Dasnet Group Mexico, S.A. de C.V. (“Dasnet”).


  1. 1. Definitions
  2. “Client”: the natural or legal person purchasing the Goods or Services.
  3. “Goods”: any product supplied by Dasnet.
  4. “Services”: any work or provision of services supplied by Dasnet.
  5. “Working day”: any calendar day Monday through Friday, excluding Mexican public holidays.
  6. 2. Scope
  7. These T&C prevail over any Client’s terms and conditions, even if drafted later, unless expressly agreed in writing.
  8. 3. Orders and Acceptance
  9. All orders are subject to Dasnet’s written confirmation. Dasnet may refuse or suspend orders without liability.
  10. 4. Prices and Invoicing
  11. Prices are those quoted or, if not quoted, those in Dasnet’s current price list. Invoices shall be issued upon delivery or completion of Services.
  12. 5. Payment Terms
  13. Invoices are payable within 21 Working Days from invoice date unless otherwise specified in writing. Payment obligations are unconditional and non-assignable.
  14. 6. Late Payment
  15. Any amount not paid when due shall bear interest at 10 % per annum, calculated daily from the due date until full payment. Dasnet may suspend performance without prior notice until payment is made.
  16. 7. Retention of Title
  17. Ownership of Goods remains with Dasnet until full payment of all sums due, including interest and costs.
  18. 8. Taxes and Withholdings
  19. Client is responsible for all local taxes, duties, levies, and withholding taxes applicable to the transaction. Dasnet’s prices do not include such charges.
  20. 9. Limitation of Liability
  21. Dasnet’s total liability for any claim arising from or relating to these T&C shall not exceed the total amount paid by Client in the 12 months preceding the event. Under no circumstances shall Dasnet be liable for indirect, special, or consequential damages, including loss of profit.
  22. 10. Force Majeure
  23. Dasnet shall not be liable for delay or failure to perform due to events beyond its reasonable control (e.g., natural disasters, strikes, pandemics, governmental acts, supply chain disruptions). Performance will resume as soon as practicable.
  24. 11. Confidentiality
  25. Both parties agree to keep confidential all technical, commercial or financial information received under the contract and not to disclose it without prior written consent.
  26. 12. Intellectual Property
  27. Unless otherwise agreed, Dasnet retains all intellectual property rights in designs, drawings, software, and documentation provided.
  28. 13. Claims and Notices
  29. Any claim relating to Goods or Services must be notified in writing by recorded delivery to Dasnet’s registered office within 8 calendar days of delivery or performance.
  30. 14. Governing Law and Jurisdiction
  31. These T&C are governed by Mexican law. The parties submit to the exclusive jurisdiction of the Courts of Mexico City.
  32. 15. Severability
  33. If any provision is held invalid or unenforceable, the rest of the T&C remain in full force and effect.
  34. 16. Entire Agreement
  35. These T&C, together with any written quotation or order confirmation, constitute the entire agreement between the parties and supersede all prior agreements.
